1. Introduction
This agreement applies as between you, the User of this Website acting as a (Vender/ Seller/ Brand / Independent business/ private individual sellers) collectively "Seller". And Mostadam LLC, the owner of the Website ("Mostadaam/We/Us/Our"). Mostadam LLC is registered in the United Arab Emirates (“UAE”) under license number 2115208.01 trading as Mostadaam and operates the website Mostadaam.com.
These Seller Terms & Conditions for Mostadaam establish the rules and regulations that govern the relationship between the Mostadaam marketplace platform and the sellers who sell their products or services on the platform. These terms outline the rights, responsibilities, and obligations of the sellers, as well as Mostadaam's policies and procedures.
These terms aim to establish a clear understanding between Mostadaam marketplace and the sellers, ensuring fair and transparent practices, protecting the interests of both parties, and maintaining a positive and reliable marketplace experience for all users.
The Seller Terms & Conditions ("Seller Terms") and all policies and additional terms posted on any Mostadaam website (e.g., www.mostadaam.com), collectively referred to as the "Site," outline the terms under which you, as a seller, can access and use our Site, services, and applications, including our mobile application (collectively, the "Services"), for selling directly to buyers on the Site. These Seller Terms apply in conjunction with our other terms (including our Terms of Use, Terms of Sale, and Privacy Policy) available on the Site and subject to periodic amendments (collectively, the "Legal Documents"). By accessing, registering, and/or continuing to use or access our Services, you agree to be bound by these Seller Terms and the Legal Documents immediately. References to "you" or similar pronouns in these Seller Terms pertain to you as a legal entity. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Website. The Agreement is also deemed effective upon your acceptance of these Terms and Conditions by clicking. If you do not agree to be bound by these Terms and Conditions, you should immediately stop using the Website.
2.Our Services
2.1 Mostadaam provides services to sellers, enabling them to offer their products or services to registered buyers on the Site. Upon commencement of the Term, Mostadaam will:
a. Provide a password for the Seller to create and update their shop front on the platform.
b. Deliver Our Services with reasonable skill and care.
c. Make reasonable efforts to resolve any faults in Our Services promptly. However, the Seller acknowledges that internet transmission is not completely secure, and there may be delays or failures in electronic communications beyond Mostadaam's control.
2.2 Mostadaam reserves the right to revise or modify Our Services, subject to the Conditions.
2.3 The Website serves as a platform for sellers and brands to directly sell their products to customers. In this process:
a. Contracts for sale and purchase of products are solely between the Seller and the respective customer, with Mostadaam not being a party to such contracts.
b. Mostadaam facilitates the negotiation of sales through the use of the content management system (CMS), email communication services, and Our Services, which enhance the brand's reputation, promote products, and encourage customer orders.
c. Mostadaam does not own or possess the products offered for sale on the Website.
2.4 We have the right to determine the content, appearance, design, functionality, and other aspects of the Site and Services. We may modify, remove, or alter these aspects, and we may delay, refuse, or cancel any listing or transaction in our sole discretion to ensure compliance with these Seller Terms or for legal purposes.
2.5 Mostadaam holds sole discretion in inviting and selecting prospective sellers to use the Service.
2.6 Mostadaam may introduce brands or sellers to third parties with special terms. Any contracts between brands/sellers and these third parties are directly between them, and Mostadaam is not responsible for the fulfilment or liability of such contracts, except as expressly stated in these Brand Terms.
3.Your Obligations
3.1 It is your responsibility to read and understand the Legal Documents, including the Terms of Use and account eligibility requirements for opening a seller account. You must also adhere to the site's guidelines regarding prohibited products.
3.2 In addition to the obligations outlined in the Legal Documents, unless otherwise agreed upon, you agree to:
(a) Deliver products in accordance with our packaging requirements and any specific instructions provided in advance, giving preference to sustainable and eco-friendly packaging options.
(b) Package and transport products securely, minimizing the risk of damage.
(c) Obtain all necessary documentation, permits, and consents required for product delivery.
(d) Offer a reasonable warranty for products against defects, limited to repair, replacement of parts, or refund, as determined by us.
(e) Take responsibility for after-sales services, guarantees, maintenance, and defects.
(f) Comply with our instructions regarding product listings, intellectual property rights, returns, and other related matters.
(g) Provide your VAT registration details and any additional requested information accurately and promptly.
(h) Adjust your pricing to account for taxes and fulfill your tax obligations to the relevant authorities.
3.3 You acknowledge our commitment to delivering an enjoyable user experience and agree to assist us in fulfilling our obligations to buyers, including:
(a) Accepting returned products as per the Terms of Sale.
(b) Replacing or exchanging returned products within a reasonable time frame to meet our obligations.
(c) Facilitating refunds to buyers as required under the Terms of Sale.
3.4 You accept that refusing to accept and fulfill an order may result in charges up to 100% of the product's price for reasons such as:
(a) Product being out of stock despite being listed as available on your seller account or the site.
(b) Incorrectly pricing the product on your account.
3.5 Furthermore, you agree that:
(a) We may, at our discretion, choose to purchase and resell the product if operationally necessary, and your obligations regarding warranty, returns, and payment terms will apply to the original buyer.
(b) We have the right to reject a product if it is damaged, fails to meet packaging or quality requirements, lacks necessary documentation, or violates these Seller Terms or applicable laws.
(c) We will generate invoices and credit notes on your behalf based on the provided VAT registration details, which will be provided to you electronically.
(d) You have the sole discretion to manually adjust pricing or use automated tools provided on your seller account. Any orders placed with incorrect pricing must still be honored, and any costs or liabilities resulting from pricing errors will be your responsibility.
4.Order Processing
4.1 Customers will place orders through our system, and we will collect all proceeds from these transactions, including shipping costs and applicable taxes. We will provide the brand or seller with the necessary order information (e.g., customer name and shipping address) for order fulfillment, including shipping products and providing customer service. We will send automated email confirmations to customers upon order receipt.
4.2 We will not assume the risk of credit card fraud for any product not shipped by the brand to the specified shipping address. The brand will be responsible for all costs related to credit card fraud and chargebacks for products sold and their fulfillment and delivery.
4.3 Once we transmit an order to the brand or seller, they will be solely responsible for fulfilling the order, including packaging, shipping, freight forwarder or customs broker service charges (if required), import/export duties or taxes, and customer service. Legal ownership and risk of loss of the products remain with the brand or seller until the customer receives them physically.
4.4 The brand or seller must ship only the purchased product and should not include any additional products, materials, or information unless they are part of all shipments sold by the brand and do not promote their own website or our competitors.
4.5 The brand or seller should ship ordered items within one business day of receiving the order notification and provide us with a shipment notification. Failure to provide shipment notification within seven days may result in order cancellation, with the brand or seller being responsible for all associated product and shipping costs.
4.6 The Contract of Sale
(a) The brand or seller acknowledges that accepting an order through the CMS constitutes an irrevocable instruction to Mostadaam to conclude a contract of sale between the brand and the customer. The contract is considered concluded when Mostadaam, acting as the commercial agent of the brand, sends an order confirmation email to the customer. Mostadaam is not responsible for the performance of the contract.
(b) The brand or seller agrees that the terms and conditions of the contract will include the Customer Terms, the email confirmation, and the relevant details on the product page. The seller is bound by all these provisions.
5.Processing Customer Orders
5.1 Mostadaam will notify the brand or seller by email of any order that requires acceptance. The brand acknowledges that email communications may not be completely reliable and must check the CMS daily for new order alerts.
5.2 Upon receipt of the notification, the brand or seller must confirm acceptance or rejection of each order within a maximum of two (2) working days, preferably within twenty-four (24) hours, using the CMS. The brand or seller should make every effort to accept every order.
5.3 Once an order is accepted through the CMS, the brand or seller must fulfill the customer's order as soon as reasonably possible and dispatch it to ensure it reaches the customer within the advertised timelines on the product page or as agreed upon in subsequent correspondence with the customer.
5.4 If the brand or seller is unable to meet the agreed service level agreements (SLAs) for dispatch or unable to advise on the reasons for delayed dispatch within the specified timescales, they must immediately report this to Mostadaam's Customer Service team. Reasons for being unable to dispatch may include product unavailability, incorrect stock sent to Mostadaam, technical failures, or other issues. Failure to report within the agreed dispatch times may result in fees adjustment by Mostadaam, to be included in the next payout. The fees adjustment may vary depending on the impact and disruption caused to the business and/or customer, in order to prevent a poor or unsatisfactory experience. In cases where the disruption is deemed to materially affect Mostadaam and/or the brand's reputation, special consideration on fees adjustment or a pause/closure of the brand shop may be given. This includes situations where negative reviews are left online (Trustpilot, Google, Facebook/Meta, etc.), negative press coverage, or negative sentiment expressed in other groups, organizations, partners, or similar platforms. Any fees adjustment or other action taken will be at Mostadaam's discretion and deemed reasonable and appropriate. The brand will also indemnify Mostadaam against any matters related to or arising from failure to meet agreed SLAs.
6.Communication with Customers
6.1 The brand or seller must ensure that any correspondence with customers adheres to the following guidelines:
a) It should only be for the purpose of processing and progressing a customer's order;
b) It should be conducted through the CMS or, if not possible, include a reference to Mostadaam.com at all times;
c) It should not include any references to the brand's own website, email address, other correspondence address, or any promotion of services outside of those offered through Mostadaam. d) It should be noted that customer data is the property of Mostadaam and cannot be used for direct marketing by brands or sellers without breaching GDPR guidelines and constituting unlawful alteration, unauthorized disclosure of, or access to personal data.
e) In line with the above, references to "customer" also include partners and promotional activities and competitions initiated by Mostadaam, such as PR, influencer and creator activities. Introductions facilitated by Mostadaam are for the purpose of promoting our brands via Mostadaam's marketplace. Promotional activities should reference Mostadaam, our website, and use associated assets (logos, images, and links to products and pages on the Mostadaam.com/* domain) in accordance with the terms of sale.
6.2 Any breach of these guidelines will be considered a material breach of the conditions and may also constitute a violation of data protection legislation.
6.3 The brand or seller should promptly and courteously respond to customer inquiries or complaints within one working day. Any escalated unresolved customer inquiries should be promptly reported to Mostadaam.
7.Pricing
7.1 The brand or seller must set prices that are inclusive of all applicable taxes and additional charges.
7.2 If the brand is VAT registered, it must charge VAT at the current rate in the UAE for its products.
7.3 The brand has the freedom to determine its own pricing for products on Mostadaam. However, the prices on Mostadaam must not be higher than the retail prices offered on the brand's own website or other channels where it sells directly to consumers. If prices vary between different platforms where the brand's products are available, the prices on Mostadaam should not exceed the lowest available listed price.
8.Cancellations, Returns, and Refunds
8.1 The Brand or seller is responsible for handling all customer cancellations, returns, and refunds. They must provide Mostadaam with their customer service policies, which should be no less favorable to customers than the policies offered on their own website or other platforms. If the Brand does not provide their customer service policies, Mostadaam's policies will be deemed adopted.
Any material changes to the Brand's customer service policies must be notified to Mostadaam at least 14 days prior to implementation and will only be effective for orders once the revised policies are posted on Mostadaam's website.
8.2 The Brand or seller is responsible for issuing all refunds. If a cash refund is due to a customer, the Brand must notify Mostadaam and provide any requested information regarding the reason for the refund.
8.3 For UAE returns, the Brand or seller must adhere to their own return policy, which may include conditions such as a 14-day window and the requirement that items are unused with intact tags. If a customer is eligible to return or exchange an order based on the Brand's policy, the return costs will be covered by the Brand. The Brand must notify Mostadaam and provide any requested information regarding the reason for the return or exchange.
Note* Mostadaam will encourages buyers to make careful product selections to minimize returns and reduce the carbon footprint associated with return processes. If a non-defective product is returned, the return costs may be added to the buyer. Sellers are advised to ensure products are in good condition before shipping to mitigate the negative impact on our operations and the environment.
9.Payments & Costs
9.1 Our fees are transparent and designed to ensure simplicity and a clutter-free experience for users. When you sell an item or service on Mostadaam, we will deduct a service fee based on the total value of your transaction, including shipping costs and any applicable VAT. The service fee is % of the gross order(s) value, plus transaction fees and a payment processing fee of 1.5 AED.
9.2 The detailed breakdown of fees will be provided separately, and please note that fees may vary in the future. We will pay the brand the net sales price, minus taxes, processing fees, and our service fees, every 14 working days from the successful orders.
*Additionally, as part of our commitment to environmental sustainability and community support, we as Mostadaam contribute 0.5% from each order towards offsetting carbon emissions or assisting in community initiatives. 9.3 You may be charged for various services provided by us, our affiliated business, or third parties engaged to provide the services, including:
(a) a percentage of the sales transaction;
(b) using our delivery, warehousing, and logistics services;
(c) payment processing fees, chargeback fees, or related fees;
(d) customs or other taxes incurred in providing the services;
(e) costs incurred if you breach any terms;
(f) other fees that will be communicated to you in advance.
9.4 You can access sales reports through your account, which will show the amount collected for your products or services after deducting applicable fees (referred to as "Sale Proceeds").
9.5 Sale Proceeds will be transferred to your designated bank account every 14 working days from the successful orders. Payments can be made to bank accounts in the UAE or other supported countries as per our standard functionality. We are not responsible for any issues arising from incorrect bank account details provided by you.
9.6 To facilitate payments, we may create an account for you with our third-party payment processors. This may require accepting their terms and conditions and providing your details. By using our services, you authorize us to do so and acknowledge that we are not liable for any damages or losses you may incur as a result.
9.7 You agree that we may offer discounts on your products. In such cases, the discount will be reflected on the invoice issued to the buyer, and we will cover this discount by adjusting our commission.
9.8 If you sell products to buyers in KSA, Kuwait, Oman, Qatar, Bahrain, Egypt, etc., and we handle the shipping and clearance procedures, you authorize us to recover freight, forwarding charges, customs duties, and other applicable fees from you.
9.9 If you have provided your VAT registration details, we will issue the invoice to the buyer on your behalf and remit the full amount collected from the buyer to you, deducting any applicable commissions.
9.10 If you have not provided your VAT registration details, we may purchase the product from you and resell it to the buyer in accordance with clause 3.5(a). In such cases, we will deduct 5% from the payment remitted to you, unless you can provide a VAT invoice.
9.11 In addition to other rights and remedies, we have the following provisions:
(a) We may withhold any amounts owed to you to cover losses or damages suffered by us or a buyer, as determined solely by us. This includes products that infringe intellectual property rights or instances of fraudulent conduct by you.
(b) If your account or use of the Services is suspended or terminated, we may set off an amount deemed sufficient by us to cover chargebacks, refunds, adjustments, or other amounts paid to buyers in connection with your sale transactions for a three-month period. After this period, any remaining amount will be disbursed to you, or we may seek reimbursement from you using various methods, such as deducting from future payments, reversing credits, charging your credit card, or seeking reimbursement through other lawful means.
9.12 You agree to indemnify and hold us, our parent company, subsidiaries, affiliates, and related parties harmless from any losses, damages, and expenses (including legal fees) arising from third-party claims due to your breach of section 9 or clause 3.2(g), or your violation of applicable laws or regulations.
10.Content on The Website
10.1 When submitting Content to the Mostadaam website, please adhere to the following guidelines:
a. Avoid using obscene or vulgar language.
b. Ensure that the Brand/ the seller Content is not unlawful or objectionable, including any violation of specific rules, regulations, or legislation related to the advertised item or service. This includes abusive, threatening, harassing, defamatory, ageist, sexist, or racist Brand Content.
c. Do not promote or incite violence through Brand Content.
d. Provide honest and fair Brand Content without making unsubstantiated or unsupportable claims or dishonest comparisons with other content on the website.
e. Submit Brand Content in the English language or Arabic language or both; content in other languages may be removed at our discretion. By submitting content in the English language to Mostadaam, you grant us exclusive rights to translate the content into Arabic for the purpose of targeting potential Arabic-speaking buyers on Mostadaam's Arabic website. This translation will be done free of charge and the copyright of the translated Arabic content will belong solely to Mostadaam. The brand is not permitted to use or reproduce the translated content without prior written permission from Mostadaam.
f. Respect the intellectual property rights of third parties, including copyrights and trademarks.
g. Refrain from posting links to other websites containing the aforementioned types of content.
h. Ensure that the means by which the Brand identifies themselves comply with these Terms and Conditions and applicable laws.
i. Place the Brand's Products into the appropriate category.
j. Avoid impersonating other individuals or businesses.
k. Refrain from submitting material that may contain viruses or instructions that can damage or disrupt software, computer hardware, or communication networks.
l. Do not use our website for unauthorized mass communication, such as spam or junk mail.
10.2 The Brand acknowledges that Mostadaam may screen, approve, or reject Brand Content submitted to the website. As a result, we may edit and/or remove such Brand Content.
10.3 By posting Brand Content, you confirm that you are the author of the content or have obtained all necessary rights and permissions to submit it. We are not responsible or liable for any infringement of third-party rights caused by such Brand Content. Additionally, you waive all moral rights in the Brand Content and grant us a perpetual license to modify the Content for its inclusion on the website.
10.4 We are not liable for any loss or damage incurred due to Brand Content, nor for any errors or omissions in the Brand Content. Your use and reliance on the Brand Content are entirely at your own risk.
10.5 'Content' may also include communications with partners, promotional activities, and competitions facilitated or arranged by Mostadaam. When promoting our Brands via Mostadaam and our marketplace, please reference Mostadaam and our website using associated assets only (logos, images, including links to products and pages on the Mostadaam.com/* domain), and ensure that these promotional activities comply with the terms of sale.

13.1 All content included in or made available through any Mostadaam Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations, is the property of Mostadaam or its content suppliers and is protected by local and international copyright, authors' rights and database right laws. The compilation of all content included in or made available through any Mostadaam Service is the exclusive property of Mostadaam since local and international copyright and database rights laws protect it.
13.2 You may not extract and/or re-utilize parts of the content of any Mostadaam Service without our express written consent. In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilization any substantial parts of the content of any Mostadaam Service without our express written consent. Without our express written consent, you may also not create and/or publish your own database that features substantial sections of any Mostadaam Service (e.g., our prices and product listings).

15.Intellectual Property

15.2 You are not allowed to use Mostadaam's name, trademarks, or logos in any advertisements, promotional literature, or information without obtaining prior written consent from Mostadaam. If consent is granted, the use of Mostadaam's name, trademarks, and logos must strictly adhere to the permission and direction provided by Mostadaam.
16.Warranties, Representations, and Undertakings
16.1 You warrant, represent, and undertake that:
(a) You have the authority to enter into these Seller Terms and will comply with all applicable laws, regulations, and statutes, including anti-bribery, anti-corruption, export control and sanctions laws, consumer protection laws, import regulations, and customs duties.
(b) You possess all necessary licenses, permissions, authorizations, proprietary rights, consents, and permits to list and sell products in the UAE.
(c) Your listed products conform to the required quality and safety standards in the UAE.
(d) All new products are free from defects.
(e) You are solely responsible for any liability arising from the purchase and use of your listed products by site users or third parties.
(f) You own or have the authority to grant the licenses and the content you submit does not infringe the rights of any third party.
(g) The product dimensions displayed on the site are correct and accurate, and you will be liable for any additional shipping costs resulting from incorrect dimensions.
16.2 The Services are provided on an "as is" basis without warranties or conditions of any kind. We disclaim all warranties, conditions, and representations, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be secure, error-free, or uninterrupted.
16.3 While we strive for accuracy, we do not warrant the accuracy or completeness of product descriptions or other content on the site. You are responsible for reviewing the accuracy of your listings and cannot hold us responsible for inaccuracies.
16.4 If we determine, at our discretion, that you have breached the warranties, representations, and undertakings in clause 16.1: (a) You will be liable for any fines or levies imposed by governmental authorities. (b) Pending payments will be withheld until the breach is remedied. (c) We may impose a financial penalty, at our discretion, for direct and indirect losses resulting from the breach, including reputation loss.
16.4.1 If you fail to pay the compensation and/or penalty imposed, we may impose a time-based conditional ban.
16.4.2 We reserve the right to take legal actions against you and report products in breach of clause 16.1 to law enforcement authorities, notwithstanding the above.
17.Anti-Counterfeiting
As a company built on sustainability and ethics, Mostadaam strictly prohibits the listing or sale of counterfeit products on the Site. We prioritize authenticity and originality in all products sold.
17.1 The sale of counterfeit products on the Site is strictly prohibited. Only original and authentic products are allowed. Counterfeit products include fakes, bootlegs, pirated copies, and illegally replicated or manufactured products.
17.2 It is your responsibility to ensure that all products available for sale on the Site are original, authentic, and do not infringe on any intellectual property rights.
17.3 We reserve the right to verify and determine the authenticity of the products sold on the Site. If we determine, at our discretion, that a product is counterfeit or not 100% genuine: (a) You will be liable to pay a minimum compensation of one hundred thousand dirhams to us, in addition to any fines imposed by governmental authorities. (b) Pending payments will be withheld until the counterfeit issue is resolved. (c) We may impose a financial penalty, at our discretion, for direct and indirect losses resulting from the sale of counterfeit products, including reputation loss.
17.4 If you fail to pay the compensation and/or penalty imposed, we may impose a time-based conditional ban.
17.5 We reserve the right to take legal actions against you and report counterfeit products to law enforcement authorities, notwithstanding the above.
18.Liability
18.1 Nothing in these Seller Terms shall limit or exclude Mostadaam's liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.
18.2 Subject to clause 18.1, Mostadaam, its parent company, subsidiaries, affiliates, directors, officers, agents, employees, suppliers, subcontractors, or licensors shall not be liable for special, indirect, incidental, or consequential damages, including loss of profits, data, or business interruption, arising out of or in relation to these Seller Terms.
18.3 Mostadaam, including its parent company, subsidiaries, affiliates, directors, officers, agents, employees, suppliers, subcontractors, or licensors, shall not be liable for damages or losses resulting from various factors, such as content provided by you, use of the Services, pricing and shipping information, defects or damage to products, bugs or errors in the Services, actions of third parties, suspension of Services, changes to these Seller Terms, and others, to the extent permitted by applicable law.
18.4 Subject to clause 18.1, if clauses 18.2 or 18.3 are unenforceable, the total liability applicable to Mostadaam, its parent company, subsidiaries, affiliates, directors, officers, agents, employees, suppliers, subcontractors, or licensors, to you, shall be limited to the lower of the product's sale price and original shipping costs, the fees in dispute (up to the total fees paid in the previous twelve months), or three hundred Dirhams (AED 300).
18.5 You agree to indemnify and hold Mostadaam, its parent company, subsidiaries, affiliates, directors, officers, agents, employees, suppliers, subcontractors, or licensors harmless from any Claims arising from our rejection of your product, claims by third parties, violation of these Seller Terms, violation of applicable laws, defects in your products, or infringement of intellectual property rights.
18.6 In the event of your breach of these Seller Terms, Mostadaam reserves the right to disclose your information to third parties, including government or regulatory authorities and registered trademark owners, to address any related issues.
19. Applicable Law
These conditions are governed by and construed in accordance with the laws of the UAE. The Laws of the United Arab Emirates shall govern the use of the Site and the Terms of Use, without regards to conflict of laws principals. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in U.A.E.
20. Third Party Rights
Nothing in these Terms and Conditions creates any rights for third parties. The agreement formed by these Terms and Conditions is solely between you and Mostadaam.
21. WAIVER
If you breach these Conditions of Sale and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Conditions of Sale.
22. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
